1. Terms & Conditions

1.5 Pricing & Payments

Prices are subject to vendor availability, currency fluctuations, taxes, and supplier confirmation. Payment terms will be specified in proposals or invoices. Failure to pay may result in suspension or cancellation of Services.

1.6 Scope Changes

Any changes in dates, guest count, destinations, venues, deliverables, or program scope may result in revised pricing, timelines, and cancellation penalties. ICE India is not responsible for supplier penalties arising from client-initiated changes.

1.7 Intellectual Property

All Website content, proposals, itineraries, designs, scripts, documents, and creative materials are the intellectual property of ICE India unless agreed otherwise. No content may be reused or distributed without written permission.

1.8 Disclaimer of Warranties

Services and Website content are provided “as is” and “as available.” ICE India makes no warranties regarding accuracy, completeness, suitability, or uninterrupted availability.

1.9 Limitation of Liability

To the maximum extent permitted by law, ICE India is not liable for indirect, incidental, or consequential losses. ICE India’s total liability is limited to the fees paid to ICE India for the specific Service in dispute.

ICE India is not liable for failure or delay due to events beyond reasonable control including pandemics, government actions, strikes, natural disasters, wars, transport disruptions, or supplier failures.

1.11 User Obligations

You agree to provide accurate information, comply with laws, and not use the Website or Services for unlawful purposes.

1.12 Confidentiality

All proposals, pricing, itineraries, and documents are confidential. Clients must not disclose ICE India proprietary information without written consent.

1.13 No Partnership or Agency

Nothing herein creates a partnership, joint venture, or employment relationship between the parties.

1.14 Indemnity

The client agrees to indemnify and hold ICE India harmless from losses, claims, damages, or expenses arising from inaccurate information, client decisions, guest actions, or violations of law.

1.15 Arbitration & Dispute Resolution

Any dispute arising out of these Terms shall first be attempted to be resolved amicably. Failing resolution, disputes shall be referred to arbitration in Mumbai under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, and proceedings shall be conducted in English.

1.16 Governing Law & Jurisdiction

These Terms are governed by Indian law. Courts in Mumbai, Maharashtra shall have exclusive jurisdiction, subject to the arbitration clause above.

2. Cancellation & Refund Policy

2.1 Nature of Services

ICE India provides professional planning, coordination, and third-party bookings involving non-refundable supplier advances and time-based professional effort.

2.2 Client Cancellations

Cancellations must be submitted in writing. Professional, consultancy, and management fees are non-refundable once work has commenced, irrespective of event execution.

2.3 Third-Party Services

Refunds for flights, hotels, venues, transport, and vendors are subject to supplier policies. ICE India is not responsible for supplier refund timelines or policies.

2.4 Refund Processing

Approved refunds will be processed within 14–30 business days after deducting supplier charges, professional fees, bank fees, and incurred costs.

2.5 No-Show & Partial Utilisation

No refunds for no-shows, unused services, guest count reductions after confirmation, or client-initiated scope changes after vendor commitments.

2.6 Force Majeure Refunds

Refunds due to force majeure are subject to supplier policies. ICE India is not liable for losses arising from such events.

2.7 ICE India Service Failure

If ICE India fails to deliver due to its own fault, refunds are limited to fees paid directly to ICE India, excluding third-party supplier costs.

2.8 Chargebacks

Clients agree not to initiate chargebacks or payment disputes without first attempting resolution with ICE India.

3. Privacy & Data Protection Policy

3.1 Information Collection

ICE India may collect personal and business information including names, contact details, passport data, visas, travel details, and event information to deliver Services.

3.2 Use of Information

Data is used for service delivery, supplier coordination, communication, legal compliance, and internal analytics.

3.3 Data Sharing

Information may be shared with airlines, hotels, vendors, partners, and government authorities where required. ICE India does not sell personal data.

3.4 Cross-Border Data Transfers

Data may be transferred outside India for international travel and supplier coordination. By using the Services, you consent to such transfers.
